These Terms of Service ("Terms") govern your use of the Heavy Buddy marketplace platform ("Platform"). By creating an account or using our Platform, you agree to these Terms. If you do not agree, please do not use our services.
1. Definitions
- "Platform" refers to the Heavy Buddy website, services, and associated tools.
- "User" refers to any registered individual or business using the Platform.
- "Seller" refers to a User who lists construction equipment for sale.
- "Buyer" refers to a User who purchases or inquires about listed equipment.
- "Ad" refers to a listing of construction equipment posted on the Platform.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Platform. By registering, you represent that you meet these requirements.
3. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorized access to your account.
- One account per person or legal entity. Duplicate accounts may be suspended.
4. Platform Services
Heavy Buddy provides a marketplace platform connecting buyers and sellers of construction machinery. We act as an intermediary and are not a party to transactions between users.
4.1 For Sellers
- You are responsible for the accuracy of your ad content (descriptions, photos, specifications, pricing).
- Ads must represent equipment you legally own or are authorized to sell.
- You must respond to buyer inquiries in a timely and professional manner.
- Misleading, fraudulent, or duplicate ads are prohibited and will be removed.
4.2 For Buyers
- You are responsible for verifying equipment condition before finalizing a purchase.
- We strongly recommend requesting an independent inspection for high-value equipment.
- Heavy Buddy does not guarantee the accuracy of seller-provided information.
5. Pricing Plans & Fees
Heavy Buddy offers Free, Pro, Premium, and Advertising Partner plans. Details of pricing and commissions are available on our Pricing page. We reserve the right to modify pricing with 30 days' notice.
- Commissions: A success fee is charged on completed transactions (varies by plan).
- Subscriptions: Pro and Premium plans are billed monthly. You may cancel at any time; access continues until the end of the billing period.
- Refunds: Subscription fees are non-refundable except as required by law.
6. Payments & Transactions
Payments are processed through Stripe, our third-party payment provider. By using payment features, you also agree to Stripe's Terms of Service.
- Heavy Buddy uses an escrow system to protect both buyers and sellers.
- Funds are released to the seller only after the buyer confirms receipt or after a defined holding period.
- Disputes must be raised within 14 days of delivery/pickup.
7. Inspection Services
Heavy Buddy offers optional third-party inspection services. Inspection reports are provided as-is and do not constitute a warranty or guarantee. Inspection fees vary by plan.
8. Prohibited Content & Conduct
You agree not to:
- Post false, misleading, or fraudulent ads
- Use the Platform for money laundering, scams, or illegal activities
- Harass, threaten, or abuse other users
- Circumvent the Platform's payment or messaging systems
- Scrape, copy, or reverse-engineer the Platform
- Upload malware, viruses, or harmful content
- Create multiple accounts or impersonate others
- List stolen, counterfeit, or illegal equipment
Violations may result in account suspension, ad removal, and/or legal action.
9. Intellectual Property
- The Heavy Buddy brand, logo, design, and software are our exclusive property.
- By posting content (photos, descriptions), you grant us a non-exclusive, worldwide license to display and promote your ads on the Platform.
- You retain ownership of your content and may remove it at any time.
10. Limitation of Liability
To the maximum extent permitted by law:
- Heavy Buddy acts as an intermediary and is not responsible for the quality, safety, legality, or accuracy of equipment listed by sellers.
- We are not liable for losses resulting from transactions between users.
- Our total liability shall not exceed the fees paid to us in the 12 months preceding the claim.
- We are not liable for service interruptions, data loss, or technical issues beyond our reasonable control.
11. Indemnification
You agree to indemnify and hold Heavy Buddy harmless from any claims, damages, or expenses arising from your use of the Platform, your content, or your violation of these Terms.
12. Account Termination
- By you: You may delete your account at any time via your profile settings or by contacting us. Active orders must be completed or cancelled first.
- By us: We may suspend or terminate accounts that violate these Terms, with reasonable notice where possible.
- Upon termination, your data will be handled according to our Privacy Policy.
13. Dispute Resolution
- Between users: We encourage resolution through our messaging system. If needed, contact us for mediation support.
- With Heavy Buddy: Disputes are governed by French law and shall be resolved by the competent courts of France, without prejudice to any mandatory consumer protection laws of your country of residence.
14. Data Protection
Your personal data is processed in accordance with our Privacy Policy and in compliance with the GDPR and Swiss FADP. By using our Platform, you acknowledge that you have read and understood our Privacy Policy.
15. Modifications
We reserve the right to modify these Terms at any time. Changes will be communicated via email and/or a prominent notice on the Platform at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
