Terms of Sale (CGV)

These Terms of Sale ("CGV") govern all commercial transactions carried out through the Heavy Buddy marketplace platform. They apply to any purchase, sale, or paid service between users or between a user and Heavy Buddy. By placing an order or completing a transaction, you agree to these Terms of Sale in addition to our Terms of Service.
1. Scope
These CGV apply to:
- Sales of construction equipment between buyers and sellers on the Platform
- Subscription plans (Pro, Premium, Advertising Partner)
- Paid services: ad boosts, inspection requests, and any other premium features
Heavy Buddy acts as an intermediary platform. For equipment sales, the contract of sale is concluded directly between the buyer and the seller. Heavy Buddy is not the seller of the equipment.
2. Pricing & Currencies
All prices displayed on the Platform are in Euros (EUR) and include applicable taxes unless otherwise stated.
- Equipment prices are set freely by sellers. Heavy Buddy does not control or validate pricing.
- Service fees (subscriptions, boosts, inspections) are set by Heavy Buddy and displayed before purchase.
- Prices may be updated at any time. The applicable price is the one displayed at the time of order confirmation.

3.2 Billing & Renewal
- Subscriptions are billed monthly via Stripe on the anniversary date of your subscription.
- Subscriptions automatically renew unless cancelled before the end of the current billing period.
- You may cancel your subscription at any time from your profile. Access to paid features continues until the end of the current billing cycle.
3.3 Subscription Refunds
Subscription fees are non-refundable for the current billing period. If you cancel, you retain access until the period ends. No pro-rata refund is issued. Exceptions may apply under mandatory consumer protection laws.
4. Equipment Transactions
4.1 Order Process
- The buyer places an order through the Platform by clicking "Place Order" on an ad.
- The buyer completes payment through Stripe. Funds are held in escrow.
- The seller is notified and must confirm shipment or arrange pickup.
- Upon delivery/pickup confirmation, the buyer has 7 days to inspect and confirm receipt.
- Funds are released to the seller after buyer confirmation, or automatically after the 7-day holding period.
4.2 Sales Commission
Heavy Buddy charges a sales commission on completed equipment transactions, deducted from the seller's payout. The commission rate depends on the seller's subscription plan (see table above). The commission is calculated on the total transaction amount.
4.3 Buyer Obligations
- The buyer must pay the full price at the time of order.
- The buyer is responsible for verifying equipment condition upon receipt.
- The buyer must confirm receipt or raise a dispute within 7 days of delivery/pickup.
4.4 Seller Obligations
- The seller guarantees they are the legal owner (or authorized agent) of the equipment listed.
- The seller must provide accurate descriptions, photos, and specifications.
- The seller must ship or make the equipment available for pickup within 10 business days of order confirmation, unless otherwise agreed with the buyer.
- The seller is responsible for providing any required documentation (registration, certificates, maintenance records).
5. Inspection Services
- Inspection services are provided by independent third-party inspectors coordinated by Heavy Buddy.
- Inspection fees depend on the requester's subscription plan and are charged at the time of request.
- Inspection reports are delivered within 5 business days of the scheduled inspection date.
- Inspection reports are provided for informational purposes only and do not constitute a warranty or guarantee of equipment condition.
- Inspection fees are non-refundable once the inspector has been assigned, except in case of cancellation by Heavy Buddy.
6. Ad Boost Services
- Boost services increase the visibility of your ad for a defined duration (7, 14, or 30 days).
- Boost fees are charged immediately upon activation.
- Boosts are non-refundable and non-transferable once activated.
- Free boosts included in subscription plans expire at the end of each billing period and do not roll over.
7. Payment Methods
All payments are processed securely through Stripe. Accepted payment methods include:
- Credit and debit cards (Visa, Mastercard, American Express)
- SEPA direct debit (for subscriptions)
- Other methods supported by Stripe in your region
Heavy Buddy does not store credit card details. All payment data is handled directly by Stripe in compliance with PCI-DSS standards. By using our payment features, you agree to Stripe's Terms of Service.
8. Escrow & Fund Release
- For equipment transactions, buyer funds are held in escrow via Stripe Connect.
- Funds are released to the seller only after buyer confirmation or after the 7-day holding period.
- In case of dispute, funds remain in escrow until resolution (see Section 10).
- Heavy Buddy deducts its commission before releasing funds to the seller.
9. Right of Withdrawal
Under EU consumer protection law (Directive 2011/83/EU), buyers who are consumers may exercise a 14-day right of withdrawal from the date of delivery for equipment purchases, subject to the following conditions:
- The equipment must be returned in its original condition, without damage beyond what is necessary to establish the nature and characteristics of the goods.
- The buyer bears the cost of return shipping/transport.
- Withdrawal requests must be communicated in writing via the Platform's messaging system or by email to support@heavybuddy.com.
- Refunds are processed within 14 days of receiving the returned equipment.
Exceptions: The right of withdrawal does not apply to equipment that has been customized to the buyer's specifications, or to professional (B2B) transactions where both parties agree to waive this right.
For digital services (subscriptions, boosts), the right of withdrawal is waived once the service has been fully provided, with the user's prior express consent.
10. Disputes & Mediation
10.1 Between Buyer and Seller
- Disputes should first be resolved directly between the parties via the Platform's messaging system.
- If no agreement is reached within 14 days, either party may request mediation through Heavy Buddy.
- Heavy Buddy will review available evidence (messages, photos, inspection reports) and issue a recommendation within 10 business days.
- If mediation fails, funds in escrow may be released according to Heavy Buddy's determination, without prejudice to the parties' right to seek legal remedies.
10.2 With Heavy Buddy
For disputes related to Heavy Buddy's own services (subscriptions, inspections, boosts), you may contact us at support@heavybuddy.com. In accordance with EU Directive 2013/11/EU, you may also use the European Commission's Online Dispute Resolution platform.
11. Warranties & Liability
11.1 Equipment Sales
Heavy Buddy does not provide any warranty on equipment sold through the Platform. The seller is solely responsible for any warranty obligations under applicable law (legal warranty of conformity for consumer sales under EU Directive 2019/771).
11.2 Platform Services
Heavy Buddy's paid services (subscriptions, boosts, inspections) are provided with reasonable care and skill. Our liability for these services is limited to the amount paid by the user for the specific service in the 12 months preceding the claim.
11.3 Force Majeure
Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond their reasonable control, including natural disasters, strikes, pandemics, government actions, or infrastructure failures.
12. Invoicing
- Invoices for Heavy Buddy services (subscriptions, boosts, inspections) are generated automatically and available in your account dashboard.
- For equipment transactions, it is the seller's responsibility to issue any required invoices to the buyer.
- All invoices comply with applicable EU/French invoicing requirements.
13. Applicable Law & Jurisdiction
These Terms of Sale are governed by French law. Any disputes shall be submitted to the competent courts of France, without prejudice to any mandatory consumer protection laws of your country of residence.
If you are a consumer residing in the EU, you benefit from the mandatory provisions of the consumer protection law of your country of residence that are more favorable to you.
14. Modifications
Heavy Buddy reserves the right to modify these Terms of Sale. Changes will be communicated via email and/or a prominent notice on the Platform at least 30 days before taking effect. Orders placed before the effective date of changes remain subject to the Terms of Sale in force at the time of order.
