Smart Contracts — your AI-assisted sales contract, signed in two clicks

The moment a deal closes on Heavy Buddy, buyer and seller get a shared page where our AI drafts and updates the sales contract in real time. Each party comments, the AI rewrites the next version with the changes highlighted, both sides accept — then sign electronically. Zero email back-and-forth, zero copy-pasting in Word, full audit trail. Swiss law, Geneva jurisdiction.

🤖 How it works: our AI generates a 12-article contract draft from the listing and order data, then revises it after each party comment. Highlighted diffs, automated emails, electronic signatures, immutable audit trail.

iThe principle

Three things make this work — three things only.

One shared page, two parties

Buyer and seller see the same contract on the same URL. No PDF flying around by email, no version mismatch, no 'which one is the latest?'. Each party can invite advisors (lawyer, expert, accountant) in CC.

AI that drafts, revises, explains

Our AI (Claude Sonnet 4.6) writes the initial 12-article contract from the listing and order data, then updates it after each party comment. Every change is highlighted, every revision comes with a plain-French explanation of what changed and why.

Electronic signature, printable PDF

Once both parties accept a version, each signs on a DocuSign-style page (canvas signature + typed full name + timestamp + IP). The signed contract is then a printable PDF with both signatures embedded — legally binding under Swiss law.

1How it works — 6 steps

From the moment the sale is locked to the moment both signatures are recorded.

1
Initiation
Buyer or seller clicks 'Initiate contract' on the order.
2
AI draft V1
12 articles auto-generated. Email sent to both parties.
3
Comments
Each party comments on any section. Advisors can comment too.
4
AI revises
V2, V3, V4… each change highlighted and explained.
5
Both accept
Buyer and seller click 'Accept' on the same version.
6
E-signature
DocuSign-style page. Printable PDF available immediately.

2What happens at the moment of a sale — concretely

A walk-through of a typical Heavy Buddy transaction with the Smart Contract layer turned on.

Smart Contract #142 — Liebherr R 936, CHF 145,000

T+0. An order is placed on Heavy Buddy. The buyer clicks 'Initiate contract'. The AI generates V1 of a 12-article sales contract — identification of parties, object, price, escrow phases, warranties, delivery, applicable law (Swiss CO), jurisdiction (Geneva courts), signatures.

🤖 AI: V1 published. Email sent to buyer and seller.

T+1h. The buyer reads the draft on the shared page. He posts a comment: 'I'd like 30 days of warranty after delivery instead of 10.'

T+1h05. The seller reads the buyer's comment. He posts: 'OK for 30 days, but with exclusion of engine wear from normal use.'

T+1h06. The AI is triggered. It reads both unresolved comments and produces V2.

✏️ Article 5 (warranty) — '10 days' replaced by '30 days' + new clause 5.3 on engine wear exclusion.
🤖 AI: I've integrated both comments. The wear exclusion clause is drafted to protect the seller against ordinary aging but remains contestable if damage is proven prior to delivery. Please review and accept.

T+2h. Buyer accepts V2. Seller accepts V2. Both signatures recorded with timestamp + IP. The contract is locked.

✅ Contract #142 accepted by both parties. Email sent with signature link.

T+2h05. Each party opens the signature page. Buyer signs with mouse/touch on the canvas + types full name. Seller does the same. Both signatures embedded in the final document.

🎉 Contract signed by both parties. Printable PDF available. Heavy Buddy keeps the immutable audit trail.

3Lawyers and advisors are optional — and welcome

Each party can invite up to two advisors. They see everything, they comment, they don't sign.

Who can be invited

Lawyer, technical expert, accountant, broker, in-house legal counsel. Anyone whose opinion you value on this specific deal. They get a personal magic link — no platform account needed.

What they can do

Read the full contract and all previous versions. Read all comments from both parties. Post their own comments, which the AI will integrate into the next revision. See the AI explanation of every change.

What they cannot do

Only the buyer and the seller can accept and sign the contract. Advisors counsel — they do not bind. This keeps the responsibility clear and prevents a third party from blocking the deal.

When advisors are most useful

Deals above CHF 100,000, cross-border transactions, machines with regulatory specifics (rail-road conversion, CE compliance), or any time one party simply prefers a second set of eyes.

×What we do NOT do

Boundaries up-front — Heavy Buddy is not your lawyer.

We do not replace your lawyer

Heavy Buddy provides a serious template grounded in Swiss CO and a structured exchange tool. For deals where the stakes warrant it, having an actual lawyer review the final version is highly recommended — and our platform makes their job 10× faster.

We do not arbitrate disagreements

If the parties cannot find a middle ground on a clause, the AI will not invent a compromise. It flags the comment as unresolved and asks the parties to keep negotiating. Heavy Buddy stays neutral.

We do not lock parties in

Either party can refuse to accept a version, post additional comments, or cancel the contract entirely before signature. No hidden penalty for stepping back from a deal.

We do not store private documents

Annexes you exchange privately (technical sheets, customs paperwork, financial proof) are not part of the Smart Contract scope unless you explicitly reference them. Confidentiality is preserved.

4Security and audit trail

Everything is tracked, nothing can be silently altered.

5Pricing

The Smart Contract is included on every Heavy Buddy transaction. You don't pay extra for it.

Smart Contracts are included in the standard 5–10% sale commission. Whether the buyer and seller need 1 revision or 12, whether they invite advisors or sign as just the two of them — the cost is built into the platform fee.

For deals above CHF 50,000, we strongly recommend at least one external legal review before signature — this is on the parties (or their advisors), not on Heavy Buddy.
